Agreement to terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Feyz International LLC (“Feyz International,” “we,” “us,” or “our”), concerning your access to and use of the www.feyzinternational.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). Feyz International LLC is a foreign company registered in France and has a permanent establishment at 16 Allée du Puits, 92130, Issy-les-Moulineaux, France. SIREN number: 911672723. You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

The Site is primarily intended to provide information about Feyz International’s business activities, services, corporate events, and related offerings. Certain services or events may be available to businesses, professionals, consumers, or other eligible participants, subject to any specific terms and conditions applicable to the relevant service or event.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Site is intended for users who are at least 18 years of age (or the legal age of majority in their jurisdiction). Intellectual property rights

Except as expressly provided in these Terms of Use or otherwise permitted by applicable law, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission. Subject to these Terms of Use, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site and its Content for legitimate informational, personal, or internal business purposes and in accordance with applicable law.

User representations

By using the Site, you represent and warrant that: 

  1. you have the legal capacity required under applicable law to use the Site and enter into these Terms of Use;

  2. you are at least 18 years of age, or otherwise have the legal capacity required under applicable law to use the Site;

  • Use automated systems, bots, spiders, crawlers, scrapers, or other automated means to access, monitor, copy, extract, or interact with the Site, except for standard search engine indexing or ordinary Internet browser functionality, or where otherwise expressly permitted by us;

  • Use the Site in a manner that places an unreasonable or excessive burden on the Site or on the networks, systems, or services connected to it;

  • Attempt to impersonate Feyz International, any of its representatives, personnel, contractors, partners, customers, or any other person or entity, or otherwise misrepresent your identity or affiliation;

  • Use information obtained through the Site to harass, threaten, abuse, defame, or otherwise harm any person or entity;

  • Remove, alter, obscure, or reproduce any copyright, trademark, proprietary, or other intellectual property notice contained in the Site or its Content;

  • Copy, reproduce, modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Site or its software, except to the extent expressly permitted by applicable law;

  • Create or use the Site, its Content, or any information obtained from the Site to develop, train, operate, or improve a competing service, database, website, or commercial offering, except where such use is permitted by applicable law;

  • Use the Site to distribute unsolicited commercial communications, spam, phishing attempts, or other unauthorized promotional material;

  • Use the Site to engage in any activity that infringes or misappropriates the intellectual property, privacy, confidentiality, or other rights of Feyz International or any third party; or

  • Otherwise use the Site in a manner that violates applicable laws or regulations.

 

Third-party website and content

The Site may contain (or you may be sent via the Site) links to other websites (“Third-Party Websites”) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties (“Third-Party Content”). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Site or any Third-Party Content posted on, available through, or installed from the Site, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us.

You acknowledge that we are not responsible for the products, services, content, availability, security, or practices of Third-Party Websites or Third-Party Content, except to the extent otherwise required by applicable law. Any transaction, purchase, or other interaction you undertake with a third party is solely between you and the applicable third party. Nothing in these Terms of Use excludes or limits any liability or rights that cannot lawfully be excluded or limited under applicable law.

Site management

We reserve the right, but not the obligation, to: 

  1. monitor the Site for security, operational, and compliance purposes and for violations of these Terms of Use;

  2. take appropriate legal or other action against any person who, in our reasonable discretion, violates applicable law or these Terms of Use;

  3. remove, restrict, disable, or modify any Content or functionality where reasonably necessary for legal, security, technical, or operational reasons;

  4. remove or disable files, Content, or other material that is excessive in size, malicious, unlawful, infringing, or otherwise likely to interfere with the proper operation or security of the Site; and

Governing law

These Terms of Use and any non-contractual obligations arising out of or in connection with them shall be governed by, interpreted, and construed in accordance with the laws of the French Republic, excluding its conflict of law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

If you are a consumer residing in the European Union, the United Kingdom, or Switzerland, you will also benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms of Use deprives you of the protection afforded by mandatory provisions of the law applicable to you or restricts your right to bring proceedings before a court that has jurisdiction under applicable law.

Dispute resolution

If you are a consumer residing in France and the dispute cannot be resolved directly with us, you may, where the conditions provided by applicable law are satisfied, have recourse to the consumer mediation procedure applicable to our business. The contact details of the competent consumer mediator, together with the applicable mediation procedure, are available on our website and will be provided to consumers in accordance with applicable law.

Nothing in these Terms of Use prevents a consumer from exercising any right to bring proceedings before a competent court or from using any mandatory alternative dispute-resolution mechanism available under applicable law.

For business-to-business disputes, unless otherwise agreed in a written contract between the parties, the competent courts shall be determined in accordance with applicable French procedural law.

Corrections

There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other information. We reserve the right to correct such errors, inaccuracies, or omissions and to update information on the Site from time to time. Such corrections or updates will not affect any rights or obligations that have already arisen under a contract entered into with you, except where otherwise permitted by applicable law.

 

Disclaimer

The Site is provided on an “as is” and “as available” basis, subject to applicable law. We do not guarantee that the Site will always be available, uninterrupted, secure, or free from errors. We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the site, any hyperlinked website, or any website or mobile application featured in any banner or other advertising, and we will not be a party to or in any way be responsible for monitoring any transaction between you and any third-party providers of products or services. As with the purchase of a product or service through any medium or in any environment, you should use your best judgment and exercise caution where appropriate.

 

Limitations of liability

To the fullest extent permitted by applicable law, Feyz International LLC and its directors, employees, and agents shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from or relating to your use of the Site, including loss of profits, revenue, business opportunities, or data, except where such liability cannot lawfully be excluded or limited.

Nothing in these Terms of Use excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct, breach of obligations that cannot lawfully be excluded or limited, or any other liability that cannot lawfully be excluded or limited under applicable law.

Where applicable law imposes mandatory liability or statutory rights in favour of consumers, those rights shall remain unaffected by these Terms of Use.

 

Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold Feyz International LLC, its subsidiaries, affiliates, officers, agents, partners, and employees harmless from third-party claims, losses, liabilities, damages, costs, and reasonable expenses arising directly from your unlawful use of the Site, your material breach of these Terms of Use, or your infringement of a third party’s intellectual property or other rights.

This provision does not apply to the extent that a claim, loss, liability, damage, cost, or expense results from our own breach of contract, negligence, wilful misconduct, or any other circumstance for which liability cannot lawfully be excluded or transferred to you.

We reserve the right, at our expense, to assume the exclusive defence and control of any matter subject to indemnification, and you agree to reasonably cooperate with us in that defence. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. We may assign or transfer our rights and obligations under these Terms of Use where permitted by applicable law, including in connection with a merger, restructuring, reorganisation, sale of assets, or transfer of the Site or relevant business activities, provided that such assignment does not unlawfully reduce your rights. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions.

There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Use or use of the Site. These Terms of Use may be accepted electronically and, where permitted by applicable law, such electronic acceptance shall have the same legal effect as acceptance in writing.

These Terms of Use are drafted in the English language. In the event of any conflict or inconsistency between the English version and any translated version, the English version shall prevail to the extent permitted by applicable law.
